About me


M&A and capital raising transactions require drive, energy and commitment. I have a successful track record of completed deals and I am an experienced deal leader committed to making the deal happen. As well as providing strategic and tactical advice, one of my principal functions is to take on the project management burden to allow management to focus on their business.

I am passionate about helping businesses to achieve their strategic goals. During my career, I have advised on a broad variety of transactions and have particular expertise in complex transactions such as corporate carve-outs, joint ventures and dealing with multiple jurisdictions.

Divesture

My objective is to obtain the best combination of price, form of consideration, deal structure and cultural compatibility within an agreed timescale. I provide objective guidance to corporates, financial sponsors and entrepreneurs throughout sales processes, including:

Acquisition

I advise businesses on making acquisitions to achieve market leadership, increase market share, secure new distribution channels or complementary products, enter new markets, expand product ranges or consolidate competitors to increase critical mass. My services include:

  • Search and identify suitable targets
  • Evaluate strategic and operational fit
  • Identify key risks and mitigants
  • Quantify synergies and create financial models for business plan scenarios
  • Value the target on standalone and combined basis

JVs

I advise on joint ventures and strategic alliances seeking to create value often through complementary distribution channels and product capabilities. These are normally complex transactions requiring specialist advice on:

  • Structuring the optimal business model and evaluating financial impact
  • Evaluating and agreeing upon entry valuations of respective businesses
  • Determining the optimal governance structure including Board and executive management composition
  • Designing the exit mechanism, trigger and exit valuations

Cap. raise

I provide advice to business owners and stakeholders on raising development/acquisition capital or on recapitalisations, including:

  • Managing different shareholder objectives and divergent shareholder groups
  • Identifying optimal equity ownership structure
  • Valuing the business
  • Preparing business plan and financial forecasts
  • Identifying appropriate financial investors
  • Advising on funding structure, quantum and timing of funding

Corp. Dev.

I partner with  business leaders in the assessment and execution of acquisitions, divestures, joint ventures, alliances and commercial relationships. I take responsibility for:

  • Developing the business case including analysis of strategic fit, valuation, financial impact and risks
  • Preparing investment presentations and Board papers
  • Managing the deal and internal governance process
  • Coordinating internal and external due diligence teams
  • Lead strategic negotiations on acquisitions, joint ventures and commercial alliances

Interests


As well as corporate finance, I also have a strong interest in global macroeconomic developments, equity markets and technology start-ups. As an investor, I seek out undervalued international equity markets as well as investing in and supporting technology start-ups.

Outside of work, I am a keen tennis player and I also enjoy travelling having visited over 60 countries.
